Legality of splitting equity with overseas cofounder
I may start a US based company with a German cofounder. Are there any laws or issues I should be aware of that would prevent me from issuing shares to an overseas person?

- S-Corp is not available to non US residents
There are no laws preventing foreign ownership in US shares of a C-Corp. There possibly are complicated tax implications. For sure talk to a very experienced accountant. For Germany: juhn.com
