Acquisition Checklist for Founders


I am a solo founder of a bootstrapped saas using a throwaway account for privacy reasons.

I have been approached by the M&A team of a large company and we are working through the details/due diligence of a potential acquisition. It has gotten serious enough that I am starting to get a handle on what I need to do as a founder that is not on the due diligence checklist. For example, I will need to tell my team about this (one item on the checklist), and before I do, I need to (other items on the checklist).

I have great experts helping me on the legal and financial aspects of the deal. I don't have a peers who have been through this, but I know there are HNers who have.

If you have sold your company before, what were the important items on your todo list before and right after an acquisition? Is there something you wish you had done, but didn't think of until later? What are the tasks that I need to do, but the banker/lawyers/brokers/BigCo are not going to add to the list.
